Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the pkinnovations.com website, the apps published by PK Innovations LLC ("PK Innovations", "we", "us", "our"), and any related services we provide (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Who We Are

PK Innovations LLC is a Florida limited liability company with its principal place of business at 9314 Forest Hill Blvd, Suite 642, Wellington, FL 33411, USA. Contact: peter@pkinnovations.com.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Apps Published by PK Innovations

PK Innovations publishes consumer apps through platforms such as the Apple App Store and Mac App Store. Use of those apps is subject to these Terms and to the applicable platform terms (for example, Apple's Licensed Application End User License Agreement). If the platform's terms conflict with these Terms with respect to your platform purchase, the platform terms control for that specific purchase and distribution relationship.

Auto Desktop Cleaner

Auto Desktop Cleaner is a macOS productivity utility. The app organizes files only in folders you explicitly select. The app may use AI-powered naming if you choose to enable it and supply your own OpenAI API key. You are responsible for any costs associated with your OpenAI API key. PK Innovations is not responsible for files moved or renamed by rules you configure.

5. Platform Integrations (Internal Use)

PK Innovations operates internal-use applications that connect to third-party platforms including Apple, Amazon (Amazon Advertising API and Selling Partner API), and Meta (Meta Marketing API and Meta Graph API). These integrations are operated by PK Innovations for the management of its own accounts and the accounts of clients who have authorized PK Innovations to act on their behalf. They are not offered to the general public as a product. If you are a client who has authorized PK Innovations to manage a platform account, your engagement is governed by a separate services agreement in addition to these Terms.

6. Acceptable Use

You agree not to:

• Use the Services in violation of any law, regulation, or third-party right.
• Attempt to gain unauthorized access to the Services, related systems, or other users' accounts.
• Reverse engineer, decompile, or disassemble the Services, except to the extent permitted by applicable law.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to transmit malware, spam, or harmful content.
• Use the Services to scrape, harvest, or otherwise extract data in a manner that violates the rights of others or the policies of upstream platforms (Apple, Amazon, Meta, and others).

7. Intellectual Property

The Services, including the website, apps, source code, designs, text, graphics, logos, and other content, are owned by PK Innovations or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your own personal or internal business use, subject to these Terms. No other rights are granted. The "PK Innovations" name, logo, and related brand elements are trademarks of PK Innovations LLC.

8. Your Content

You retain ownership of any content you submit through the Services (for example, files you organize with Auto Desktop Cleaner or messages you send us). You grant PK Innovations a limited license to process that content solely as needed to provide the Services and as described in our Privacy Policy.

9. Third-Party Services

The Services may interact with third-party platforms and providers (Apple, Amazon, Meta, OpenAI, Vercel, and others). Your use of those third-party services is subject to their own terms and privacy policies. PK Innovations is not responsible for the practices, content, or availability of third-party services.

10. Fees

The pkinnovations.com website is free to access. Paid apps and in-app purchases are billed through the relevant platform (for example, Apple) under that platform's payment terms. Fees for client engagements are governed by a separate written agreement.

11. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you violate these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, PK INNOVATIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PK INNOVATIONS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PK INNOVATIONS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.

14. Indemnification

You agree to defend, indemnify, and hold harmless PK Innovations from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services will be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction in those courts.

16. Changes

We may update these Terms from time to time. When we do, we will update the date above. Material changes will be highlighted on this page. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
